Terms of Service
Please read these terms carefully before engaging our services. By working with us, you agree to these terms.

Agreement Overview
These Terms of Service ("Terms") govern your engagement with Alot Digital Agency for web development, design, branding, social media management, and related digital services. By using our services, you agree to be bound by these Terms.
1. Services Provided
Alot Digital Agency provides the following digital services:
- Web Development & Web Applications
- Product Design (UI/UX Design)
- Brand Identity & Visual Design
- Social Media Management & Content Creation
- Brand Launch Packages
- Website Maintenance & Support
The specific scope, deliverables, and timeline for each project will be outlined in a separate proposal or contract.
2. Project Process
Discovery Call
Projects begin with a discovery call to assess project fit, explore technical feasibility, align with your goals, review budget and timeline, and establish clear expectations.
Proposal & Agreement
Following the discovery call, we provide a detailed proposal outlining scope, timeline, deliverables, and pricing. Work begins upon proposal acceptance and initial payment.
Delivery & Revisions
We deliver work according to the agreed timeline. Revision rounds are included in each package as specified. Additional revisions may incur extra charges.
3. Payment Terms
Standard Payment Structure
- 50% upfront - Due upon project acceptance (before work begins)
- 50% on completion - Due before final delivery
Large Projects
- 40% - Project kickoff
- 30% - Midpoint milestone
- 30% - Completion
Accepted Payment Methods
- Bank Transfer (NGN & USD)
- PayPal / Wise (International)
- Mobile Money
4. Intellectual Property
Ownership Transfer
Upon full payment, all custom work created specifically for your project (designs, code, branding assets) becomes your property. We retain the right to display work in our portfolio unless otherwise agreed.
Third-Party Assets
Licensed images, fonts, plugins, or templates used in your project may have separate licensing terms that apply to you. We will inform you of any such requirements.
Our Tools & Processes
We retain ownership of our proprietary processes, frameworks, and reusable code components that are not custom-developed for your specific project.
5. Client Responsibilities
To ensure project success, you agree to:
- Provide accurate and complete project requirements
- Supply content, images, and materials in a timely manner
- Respond to communications and feedback requests within 5 business days
- Review and approve deliverables within the agreed timeframe
- Make payments according to the agreed schedule
- Ensure you have rights to all materials provided to us
6. Revisions & Scope Changes
Included Revisions
- Starter packages: 2 revision rounds
- Growth packages: 3 revision rounds
- Enterprise packages: Unlimited revisions
A revision round includes all changes submitted at one time. Additional revisions beyond package limits will be billed at our standard hourly rate.
Scope Changes: Significant changes to project scope after approval may require a change order with adjusted timeline and pricing.
7. Timeline & Delays
We commit to meeting agreed project timelines. However, delays may occur due to:
- Late client feedback or content delivery
- Scope changes or additional revision requests
- Payment delays
- Force majeure events
Client-caused delays may result in adjusted timelines and potential additional charges.
8. Cancellation & Refunds
Cancellation Policy
- Before work begins: Full refund minus 10% administrative fee
- After work begins: Refund based on work not yet completed
- After 50% completion: No refund; you receive all completed work
Cancellation requests must be made in writing via email. Projects cancelled mid-way will receive all completed work and source files for the work paid for.
9. Confidentiality
We treat all client information, business plans, and project details as confidential. We will not disclose your confidential information to third parties without your consent, except as required by law or to provide our services.
10. Limitation of Liability
Our liability is limited to the amount you have paid for the specific services in question. We are not liable for:
- Indirect, incidental, or consequential damages
- Lost profits, data, or business opportunities
- Issues arising from third-party services or integrations
- Issues caused by client modifications after delivery
11. Warranty & Support
All projects include:
- 30-day warranty for bug fixes on delivered work
- Post-launch support period as specified in your package
- Bug fixes for issues arising from our code (not client modifications)
Extended support and maintenance plans are available for purchase.
12. Governing Law
These Terms are governed by the laws of the Federal Republic of Nigeria. Any disputes arising from these Terms or our services shall be resolved through amicable negotiation first, and if unsuccessful, through arbitration in Osun State, Nigeria.
